These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Advanced Accounting and Tax Service LLC ("Company," "we," "us," or "our"), doing business as Melisa D Accounting / Profit Portal, governing your access to and use of the Profit Portal platform, including the client/member portal ("Ask an Accountant") and the staff operations portal (collectively, the "Service"). By creating an account, logging in, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account Types

The Service is available to two categories of users:

1.1 Member Portal Users

• Individuals who purchase a pay-per-question plan or a monthly membership to ask accounting questions, upload documents, and communicate with an assigned accountant.
• Members must be at least 18 years of age and legally able to enter into binding contracts.

1.2 Staff Portal Users

• Authorized employees, contractors, and administrators of the Company who use the operations portal to manage clients, tasks, documents, payroll, calendar, leads, and member communications.
• Staff access is granted by the Company and may be revoked at any time.

2. Account Registration and Security

• You must provide accurate and complete information when registering for an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must notify us immediately of any unauthorized use of your account or any security breach.
• We may suspend or terminate accounts that we believe have been compromised or used in violation of these Terms.
• One person or entity may not maintain multiple accounts without our consent.

3. Description of the Service

The Service provides the following features and functionality:

3.1 Member Portal Features

• Ask accounting questions and receive responses from a licensed accountant.
• Upload and store documents, receipts, and tax records for review.
• Communicate with your assigned accountant through a secure inbox.
• Schedule consultations and appointments.
• Access member resources, discounts, and community features (monthly tier).

3.2 Staff Portal Features

• Manage client records, tasks, deadlines, and onboarding checklists.
• Track payroll, documents, and client requests.
• Manage calendar, meetings, and reminders.
• Conduct lead generation, enrichment, and email outreach campaigns.
• Synchronize data with QuickBooks and other authorized integrations.
• Respond to member questions and manage member conversations.

The Service is provided on an "as available" basis. We may modify, suspend, or discontinue any feature at any time without prior notice.

4. Membership Plans and Payment

4.1 Pay-Per-Question

The pay-per-question plan allows you to ask one accounting question for a one-time fee. Each question includes a response from an accountant and the ability to upload a document for context. Unused questions do not carry over.

4.2 Monthly Membership

The monthly membership provides ongoing access to the member portal, including a set number of questions per billing cycle, priority response, member resources, discounts, and community features. The membership renews automatically each month until cancelled.

4.3 Payment Processing

• All payments are processed securely through Stripe. By purchasing a plan, you agree to Stripe's terms of service.
• You authorize us to charge the selected payment method for recurring membership fees until you cancel.
• Prices are listed in USD and may change with reasonable notice. Existing subscriptions are not affected by price changes until the next renewal cycle.
• Refunds are handled on a case-by-case basis at our discretion. If you believe you were charged in error, contact us to request a refund.

4.4 Cancellation

You may cancel your monthly membership at any time. Cancellation takes effect at the end of the current billing cycle. You will retain access to the member portal until the end of the paid period. Cancelled pay-per-question credits are non-refundable.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Upload, store, or transmit content that is illegal, fraudulent, infringing, defamatory, or harmful.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or systems.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Use the Service to provide accounting advice to others unless you are an authorized staff member acting within the scope of your employment.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Share your account credentials or transfer your account to another person.
• Use automated tools, bots, or scrapers to access the Service without our express permission.
• Submit false or misleading information when creating an account or uploading documents.

6. Member Content and Documents

• You retain ownership of all documents, files, and information you upload to the Service.
• By uploading content, you grant us a limited license to access, store, and process your content solely to provide the Service to you.
• You are responsible for ensuring you have the right to upload any documents you submit, including tax records belonging to your business or clients.
• We may delete content that violates these Terms or applicable law.
• We are not responsible for the accuracy or completeness of documents you upload.

7. Professional Services Disclaimer

The Service provides access to accounting information and responses from an accountant. However, responses provided through the Service are general in nature and do not constitute a formal accountant-client relationship, tax advice, audit opinion, or legal counsel unless a separate engagement letter is signed. You should consult a qualified professional for advice specific to your situation before making financial or tax decisions. The Company is not liable for decisions made based on information obtained through the Service without a formal engagement.

8. Intellectual Property

• The Service, including its design, software, features, and content provided by the Company, is the property of Advanced Accounting and Tax Service LLC and is protected by intellectual property laws.
• You may not copy, modify, distribute, or create derivative works from the Service without our written consent.
• Member resources, templates, and guides are provided for your personal use and may not be redistributed or resold.
• Trademarks, logos, and brand names displayed in the Service belong to their respective owners.

9. Third-Party Integrations

• The Service integrates with third-party platforms including QuickBooks, Stripe, and others. Your use of these integrations is subject to the terms and privacy policies of those providers.
• We are not responsible for the actions, availability, or data practices of third-party services.
• You are responsible for authorizing and managing your own third-party connections and for the data exchanged through them.

10. Lead Generation and Outreach

As part of the staff portal, the Company may collect business information from public records and send outreach emails to prospective clients. Recipients of marketing emails may opt out at any time using the unsubscribe link provided in each email. The Company complies with applicable email marketing laws, including CAN-SPAM and similar regulations.

11. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the data practices described in our Privacy Policy.

12. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or that results will be accurate or reliable. You use the Service at your own risk. Any advice or information obtained through the Service is used at your own discretion and risk.

13. Limitation of Liability

To the maximum extent permitted by law, Advanced Accounting and Tax Service LLC, its owners, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the three (3) months preceding the event giving rise to the claim, or, for staff users, one hundred dollars ($100).

14. Indemnification

You agree to indemnify and hold harmless Advanced Accounting and Tax Service LLC, its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your infringement of third-party rights, or content you upload.

15. Termination

• You may stop using the Service and cancel your account at any time.
• We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.
• Upon termination, your right to use the Service ceases immediately.
• Provisions of these Terms that by their nature should survive termination shall remain in effect, including intellectual property, disclaimers, limitation of liability, and indemnification.
• We may delete your data after a reasonable period following termination, subject to legal record-keeping requirements.

16. Govering Law and Dispute Resolution

These Terms are governed by the laws of the State of Mississippi, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Harrison County, Mississippi. You hereby consent to the personal jurisdiction of such courts.

17. Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page. The "Last updated" date indicates when the Terms were last revised. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Service and supersede all prior or contemporaneous understandings.
